Investor Charter for Research Analyst (RA)

(As per SEBI Guidelines)

A. Vision and Mission Statements for investors.

    Every investor should be able to invest in right investment products based on their needs, manage and monitor them to meet their goals, access reports and enjoy financial wellness.

B. Details of Business Transacted by the Research Analyst (RA).

The Research Analyst undertakes the following activities for the benefit of investors:

  1. Publishing research reports based on the research activities of the RA.
  2. Providing independent and unbiased views on securities.
  3. Offering unbiased recommendations while disclosing financial interests, if any, in the recommended securities.
  4. Issuing research recommendations based on analysis of publicly available information and known observations.
  5. Conducting annual audits as required.
  6. Ensuring all advertisements comply with the SEBI Advertisement Code for Research Analysts.
  7. Maintaining records of all interactions with clients (including prospective clients) where any conversation related to research services has taken place.

C. Details of Services Provided to Investors (No Indicative Timelines)

  1. Onboarding of Clients
    • Sharing terms and conditions of research services.
    • Completing KYC for fee-paying clients.
  2. Disclosure to Clients
    • Disclosing material information for investors to make informed decisions, including disciplinary history, terms of services, risks, and conflicts of interest.
    • Disclosing the extent of Artificial Intelligence tools used, if any, in research services.
    • Disclosing conflicts of interest in distributing third-party research reports.
    • Providing research reports and recommendations without discrimination.
    • Maintaining confidentiality until research reports are made public.
    • Adhering to timelines disclosed to clients for delivering research services.
    • Providing clear guidance and caution notices for complex and high-risk products.
    • Treating all clients with integrity, transparency, and fairness.
    • Ensuring data privacy and non-disclosure unless legally required or consented by the client.

D. Details of Grievance Redressal Mechanism

  1. Grievances with the Research Analyst:
    • Investors can lodge complaints directly with the RA, who shall strive to resolve the grievance within 21 days of receipt.
  2. Grievances via SCORES or RAASB:
    • SCORES 2.0: A web-based centralized grievance redressal system by SEBI for effective, time-bound resolution. (https://scores.sebi.gov.in)
    • RAASB:
      • First Level Review: By the designated body (RAASB)
      • Second Level Review: By SEBI.
  3. Grievances via SMARTODR:
    • For disputes unresolved by the RA, investors can use SMARTODR for conciliation or arbitration.
  4. Physical Complaints:

    3. Right to Fair and Equitable Treatment.
    4. Right to Adequate and Timely Information.
    5. Right to Initial and Continuing Disclosures.
    6. Right to Fair & True Advertisements.
    7. Right to Timely Redressal and Escalation Mechanisms.
    8. Right to Exit Services as per agreed terms.
    9. Right to Clear Guidance for Complex and High-Risk Products.
    10. Right to Feedback and Grievance Resolution.
    11. Right against Unfair or Coercive Clauses.

F. Expectations from Investors (Do’s and Don’ts).

Do’s

  1. Deal only with SEBI-registered Research Analysts (Check SEBI Registration No.).
  2. Pay fees through banking channels or RAASB's Centralized Fee Collection Mechanism (if applicable).
  3. Check all disclosures in research reports before acting.
  4. Seek clarifications on complex or high-risk recommendations.
  5. Maintain proper receipts for all fee payments.
  6. Exercise the right to discontinue services anytime per agreed terms.
  7. Report any RA offering assured returns to SEBI.

Don’ts

  1. Do not give funds to the RA for investment.
  2. Do not fall for luring advertisements, limited-period discounts, or gifts.
  3. Do not share sensitive credentials (trading/demat/bank accounts) with the RA.
  4. Do not act on market rumours without verifying recommendations.
